Poor Quality

The information in the book is terrific, if you can keep the book together. This book is junk compared to previous additions. The pages fall right out, everyone in my class is experiencing the same problem. This is a book a student is going to want to keep, but can't because it is so poorly made.

Canadian VS American Editions

This is a great learning tool for the student or at home learner. BE AWARE that there are two different editions....one for the Canadian Market and one for the American Market. The Canadian version has a lime with a spoon of lime zest on the front cover. The American one is the artichoke. There are differences in the submitted recipies i.e. from Canadian Chefs

Excellent text for basic skills.

Although I was also disappointed that the book did not come with the CD, I have found it a great read with a wealth of useful information presented in an organized, easy to read fashion. This is a staple book used in culinary programs, and I will be keeping this book long after I graduate. I have recommended it to friends who want to learn to be better cooks without going to school for it. The chef who is teaching one of my culinary classes told us that if you only have two books on cooking, he'd recommend this one and The Joy of Cooking. Another great feature of this book is that the pages are coated (that's what makes the book so incredibly heavy) so that they last longer when you inevitably spill something on them while using the book in the kitchen. I agree that a spiral binding might have been a better choice but I have mostly found the book will lay flat no matter where you need it kept open to.

About the Author
Susan Rose-Ackerman is the Henry R. Luce Professor of Jurisprudence (Law and Political Science) at Yale University, Connecticut. She is one of the world's leading scholars of the political economy of corruption and one of the first economists to write on the subject. She is the author or editor of seventeen books and numerous articles. The first edition of her book Corruption and Government has been translated into seventeen languages. In addition to her work on corruption, she writes about public law and public policy from a comparative law and political economy perspective. Her most recent book is Due Process of Lawmaking (with Stefanie Egidy and James Fowkes). She has been a visiting researcher at the World Bank and a fellow at the Center for Advanced Study in the Behavioral Sciences, the Paris Institute of Political Studies, and the Wissenschaftskolleg zu Berlin.

Bonnie Palifka is an Assistant Professor at the Instituto Tecnológico y de Estudios Superiores de Monterrey (ITESM), Campus Monterrey, Mexico. She has taught a course on corruption based on the first edition of this book since 2004 at ITESM and since 2011 at Yale University. Dr Palifka has spoken on corruption at conferences in the United States, Mexico, Guatemala, St Kitts, and France. Her most recent publication is 'A Review of Drivers of Corruption: A Brief Review, by Tina Søreide' in the journal Crime, Law and Social Change.

The best book about corruption

This book is just the best study about corruption ever made in Law and Economic literature. When I bought the second edition I thought that I have made a great mistake. But, fortunately, I were wrong. This second edition presents a complete new abroach about corruption. I really recommend reading this book in order to understand the complexity of corruption.

Pipes (history, Harvard Univ.) has condensed his two-volume opus, The Russian Revolution (LJ 11/1/90) and Russia Under the Bolsheviks (LJ 3/15/94), into a single readable volume. Forcefully showing why the 70-year-old Communist experiment failed, he provides the nonacademic reader with accurate historical events in a highly readable format. Only a minor flaw in the fourth chapter, where he fails to explain who the Mensheviks were until 30 pages later in the next chapter, mars this excellent book. The approach parallels Dominic Lieven's contemporary volume Nicholas II (LJ 1/94) but is better organized and more complete. The last chapter does a fine job of summing up the revolution and adds a curious comparison between Bolshevik and Tsarist Russia. For the busy but interested reader, Pipes has condensed his classic two-volume analysis of Russia's tragic cataclysm. How that great country became saddled with and ruined by Communism is complex--despite the Bolshevik victors' claims for historical inevitability. Without World War I, they would have remained an obscure intelligentsia; Lenin doubted he would live to see the revolution scarcely weeks before the czar's abdication. Of course, Russia had muddled through the 19th century quasi-expectant of a revolution, ardently so by socialist terrorists, apprehensively so by liberals and conservatives; and the 1905 revolution should have revealed to everyone what a full-blown social overthrow would be like. But as Pipes cogently and rather wistfully describes, the reformist track under Stolypin was stymied by the monarchist reactionaries. After the bizarre interlude of Alexandra and Rasputin, enter Kerensky, the Reds Lenin and Trotsky, the Whites Kolchak and Denikin, and the dolorous drama unfolds. Far exceeded my expectations

I rarely write reviews despite how many books I read, but I felt compelled to review this book.

Considering that the Russian Revolution is arguably the most important political event of the 20th century, I realized that my knowledge of it was woefully lacking. I set out to find a single book that might succeed in giving me a basic understanding of what happened without putting me to sleep.

No one was more surprised than I when I wound up pushing through this entire 400 page book in a little over a week. I found it that interesting. Pipes is somehow able to weave the enormous cast of people, places and events together in a cohesive manner so as even a dilettante such as myself can follow along without much trouble. Finally, all the names I had heard over the years--Lenin, Trotsky, Stalin, Kamenev, Zinoviev--came to life before my eyes.

As for Pipes' 'controversial' personal opinions on the Revolution and its effects on Russia, they are hard to argue. He dissects the Bolsheviks' hypocrisies and follies with a scalpel of wit. If you are one of those still clinging to this old ideology, then obviously you will find this offensive, but for those reading to understand the Bolsheviks for what they were: in a word, murderers, you will find Pipes' commentary worthy of serious contemplation.

A Concise Historyof the Russian Revolution

Richard Pipes is the eminent scholar of Russia who has taught for years at Harvard. Pipes has also worked in the Reagan administration as a Sovietology expert. Dr. Pipes has authored several volumes on Russia and the rise and fall of the Communist police state.
"A Concise Hisory of the Russian Revolution is notable for:
a. The book is a condensation of Pipes huge two volumes "The Russian Revolution" and "Russia under the Bolshevik Regime." Those two doorstop size books are often laborious and lengthy reading.
b. The condensation of the two books hits the major episodes and thumbnail sketches the major personalities of the period in a readable and easy to understand style.
c. This book would serve as an excellent resource and textbook for a course in the Russian Revolution taught in a university setting.
d. The book is well illustrated with period photos. A few maps are also included.
The Russian Revolution's leader was Lenin (1870-1924) a Bolshevist lawyer and professional revolutionary. He and the Bolsheviks were supported by Germany. Germany wished to end the war on the Eastern Front and neutralize their Russian enemy. The German plan was then to assault a major breakthrough against the Allies on the Western Front. The German plan failed.
Russia regained most of the territory she had ceded to the Germans at the treaty of Brest-Litovsk.
e. Red Terror, famine and Civil War would torture the Russian people. Tsar Nicholas II and his family were murdered. Vast famines and the seizure of peasant property was widespread. Over 80% of Russians were peasants.
Pipes gives Western readers a grim look at the rise of a totalitarian government led by a cruel party. The Soviets outlawed laws. Frightening reading. An excellent resource!

There is much that I have heard in general terms about the Communist Revolution in Russia in a most superficial way. This books give a lot of detailed insights that I found both fascinating and useful.

About the Author
Heather Dowd is a teacher, education technology coach, science enthusiast, traveler, photographer, and most of all, a learner. She has worked as a physics teacher, instructional designer, and education technology coach in Japan, USA, Mexico, and Singapore. She currently enjoys leading professional learning workshops to help teachers create engaging experiences for students. Teaching English with the JET program in Kumamoto, Japan inspired her to become a teacher and the adventure hasn't stopped. Heather is a Google for Education Certified Innovator/Trainer, Apple Distinguished Educator, and a Common Sense Digital Citizenship Certified Educator who believes that students should have access to current technology in order to be creative in ways that weren't possible when she was in school.

Patrick Green is an Education Technology Coordinator and Site Director for the Global Online Academy for the Singapore American School. He dreams of a world where people no longer use the word "technology" and instead talk about and seamlessly integrate "relevant tools" into their learning practice. Patrick thrives in the diverse connections his careers offers. He works enthusiastically with students, parents, teachers, and community stakeholders to help them meaningfully create, collaborate, communicate, and critically think. Having taught in the Pacific Northwest, the Czech Republic, and now Singapore, Patrick is nearing his 20th year as an educational leader. About the Author

Paul M. Sammon's distinctive career can best be described by the film industry expression "hyphenate."

As a writer, Sammon has published numerous articles, short stories and books. His many film journalism pieces have seen print in The American Cinematographer, Cahiers du Cinema, The Los Angeles Times, Omni, Cinefex, and Cinefantastique. Sammon's fiction has appeared in Peter Straub's Ghosts (1995), and he recently edited both the 1994 "dead Elvis" anthology The King Is Dead plus the "no limits" anthologies Splatterpunks: Extreme Horror and Splatterpunks II: Over the Edge (1995).

But Paul M. Sammon does not only write about movies--he works in them as well. He first entered the industry as a publicist in the late 1970s, before moving on as a second-unit director, special effects coordinator, still photographer, electronic press kit producer, and Vice President of Special Promotions. Some of the scores of motion pictures on which Sammon has labored include RoboCop, Platoon, Blue Velvet, Conan the Barbarian, and The Silence of the Lambs.

By the late 1980s, Sammon was working in Japanese television, where he coproduced popular entertainment programs like Hello! Movies for the TV Asahi network. By the 1990s, Sammon had served as Computer Graphics Supervisor for RoboCop 2; he recently was Digital and Optical Effects Supervisor for 1995's XTRO: Watch the Skies.

Despite this background, however, Sammon still likes nothing better than sitting down with a good movie. And Blade Runner remains one of his favorite films.

The ultimate background book for any Blade Runner fan

Paul M. Sammon's Future Noir: The Making of Blade Runner is not merely a must-have book for any fan of the film - it is _the_ must-have book, both for Blade Runner fans and for anyone interested in thorough and quite readable account of how a film comes to be made and the incredible number of things that influence the evolution of a film as it goes from original idea to finished product.

Future Noir is clearly a labor of love for Sammon, who started following the project from its early inception and has continued to follow it through its evolution and ultimate release - and its later re-release and multiple revised cuts - and the long-term impact it has had on the scifi film genre. First published in 1996 - some fourteen years after the film's original release - he has gone back and updated it to coincide with the film's 25th anniversary and the release of Ridley Scott's Blade Runner: The Final Cut which is supposedly the director's ultimate and last word on the film. The revised edition of the book does in fact contain a great deal of new material which makes it worth finding and reading over the original edition.

In reading Future Noir, one quickly becomes aware of just how thorough Sammon has been, having interviewed seemingly _everyone_ who had any involvement in the making of the film, from Philip K. Dick, the author of Do Androids Dream of Electric Sheep?, the novel on which Blade Runner was based, to Charles Lauzirika, the DVD producer who was instrumental not only in the production of the Special Edition DVD set for the Final Cut of the film but also in locating an enormous trove of "lost" film from the original production without which the Final Cut would never have happened. And in between of course are quotes from extensive interviews with director Ridley Scott; screenwriters Hampton Fancher and David Peoples; _all_ of the actors, from the major ones (Harrison Ford, Sean Young, Rutger Hauer, Darryl Hannah, Brion James, Joanna Cassidy, Edward James Olmos, William Sanderson, Joe Turkel) to the minor ones (M. Emmet Walsh, James Hong, Hy Pike, Morgan Paull and others), and dozens upon dozens of people involved in the more technical aspects of the film.

Sammon's prose is both wonderfully descriptive and engaging, as can be seen in this bit on what makes Blade Runner so significant as a film:

"Blade Runner presents one of the most elaborately visualized fictional environments ever constructed for an American film; each frame is bursting with an obsessive accretion of detail. Still, it's not a pretty sight. Ridley Scott's twenty-first century is a decayed, jaded, mutated place, a cheerless landscape whose meager humanity is being ground down by the microchipped jackboot of a ruthless technological zeitgeist. Its mean streets teem with hundreds of oddly dressed citizens (mostly Asians, some punks, street gangs, Hare Krishnas, and the ever-present police). All scurrying ratlike through concrete canyons whose confines are constantly bombarded by ubiquitous neon advertising, by the blare of unctuous announcers hawking pristine 'Off-world colonies,' from huge, insanely graphic-heavy blimps, and by the sodden, perpetual downpour of a numbing acid rain.
--It is exactly this deluge of details -- the striking costumes, the fantastic flying cars, the atmospheric ethnicity, the moody music, the lavish, lived-in sets -- which makes Blade Runner such addictive eye-candy. And it is to this bewitching visual surface which most viewers repeatedly return. Like its industrial counterparts in the worlds of high fashion and architecture, Blade Runner is a form of ultrasophisticated 'designer cinema', one whose astonishingly complex visual field has, despite a subsequent decade's worth of futuristic/alternate world spectaculars like Time Burton's Batman tilogy or Judge Dredd, remained the high-water mark against which all other big-buget SF entertainments are measured."

In addition to Sammon's narrative attention to detail, Future Noir is also lavishly illustrated with hundreds of production shots taken during the making of the film giving the reader an intimate feeling of what it must have been like to witness the making of Blade Runner.

My only quibble with the book (at least the 2007 edition that I read) is that it lacks an index. It's still a great read, but the lack of an index makes it hard to look up particular points of interest if you're trying to do research or answer a specific question.

Highly, highly recommended for anyone with an interest in Blade Runner as a film or in how the film-making industry works in general.

This book thoroughly reviews all aspects of the movie. From the conceptualizing the book to film all the way through the process of making the movie. A lot of good insight. As other reviews have stated, it is very indepth and has a lot of content that many people will not care about. However, that is easy to skip over if it gets boring.

If you enjoyed the book and/or movie, this is an excellent resource to understand why the film was so different from the book.

Blade Runner Bible

The book is written by Paul M. Sammon in 1996, about 15 years since the original release and 4 years after the Director's Cut re-release. As he explains in the opening chapter of the book, Sammon worked for a science fiction magazine called Cinefantastique, and what began as a double-issue special on the making of the highly-anticipated film Blade Runner eventually evolved into what Sammon calls an "exhaustive archaeology" of information regarding the film.
The novel is simply an overwhelming wealth of information on all things Blade Runner; chapters focus on every minute detail such as the evolution of the story as it passed through the hands of Phillip K. Dick's novel, Hampton Fancher's screenplay, then into the hands of David Peoples and Ridley Scott. Chapter VIII is such a delight, as it meticulously works through each scene in the film, stopping along the way to add tidbits of info such as exclusive interviews with the actors. Sammon apparently also had the luxury of roaming the set of Blade Runner, and he reveals things such as the futuristic magazine covers he would see on the magazine racks and many other incredibly obscure decorations the design team threw in that are virtually impossible to see when you watch the film.
Like the other reviewers, I agree that Sammon is not perhaps the most skilled writer, and the prose of the book is very choppy and (especially in Chapter I) pretty corny. What troubles me most, though, is that Sammon has a particularly annoying habit of throwing out names without properly introducing them and explaining their role in the Blade Runner universe. Mercifully, there is a cast and crew listing printed as an appendix, which is a great help. This, and some of the other errors in the book seem quite obvious, and it leaves one wondering who was in charge of the editing.
Anyhow, the book allows great insight into the workings of the film, all gathered from what must be piles and piles of notes and cassette-recorded dialogue Sammon collected over the years to produce a rather well-organized book for fans of the film to read. I have seen the film countless times, and the new perspectives and ideas gained from this book keep the film fresh and wondrous as the years go by.

About the Author
Michael Ochs developed an addiction to rock and roll in the early fifties. To feed his habit, Ochs headed the publicity departments of Columbia, Shelter, and ABC Records in the 60s and 70s. He has also been a disc jockey, taught a rock-history course for UCLA and written for such magazines as Rock, Melody Maker, Cashbox, and Crawdaddy. Michael Ochs established the Michael Ochs Archives in the mid-70s. The archives currently house millions of photographs and over 100,000 albums and singles.

Nice collection of cover art.

A really great book, took me back to the days of my vinyl collection that I foolishly sold years ago. I really appreciated the grouping of the albums by themes that showed the development of art style over the years. I do wish the format were a bit larger though, a part of the great appeal of album art was that great 12" size. This would do very well as a coffee table art book size. T

Bought this as a coffee table book and it is exactly what you would expect. The records are ordered in different categories and often there are neat backstories on the album or the artwork inside. It is a great conversation piece and always one of the first books people pick up to start looking through.

for what it promises it is good... but do you want what it promises?

I am a 2x entrepreneur who has raised over $20M in VC funding, so when i say this is a must-read IF you want to raise money I am speaking out of experience.
I wish I had this book in 2007, when I was trying to raise money. Terms like "double ratchet anti-dilution", "preferred", "participation", "vesting pool' or "liquidation events" were all terms that I was completely ignorant about. worst yet, our attorneys had to explain these to me, and at $750/hr it was a costly lesson. $30 for this book would have saved me $1,000's in legal fees, and hundreds of thousands in earnings.
Well, but now that i have read this book my long-held view about VCs is further perpetuated.
VCs are in the business to accomplish two things: (1) preserve their LP capital (i.e. don't lose money). and (2) earn outsized earning to makeup for all the duds (i.e. take everything you can).

Note, "make the entrepreneur lots of money" is not on the list. This is something that the authors and most VCs, including Mark Suster on his talks/blogs will confirm this. As an entrepreneur you end up working for the VCs and will get wealthy if your company ends up being one of the 0.01% of VC companies that have very successful exits. If your company does just "great", or "OK" then expect to earn nothing from the exit - while the VC will walkaway with 2x to 5x of the investment.
This is not a bad thing if you expect to be in the 0.01%, but as that number indicates - it's not likely.

so lets look at the main two things covered in this book that describe how VCs make money:

VCs get their money from pension funds, alternative asset funds, government organizations, and basically any large sources of capital that is looking for risk-adjusted better-than-average returns. these are the clients of VCs and these are the folks they are accountable to. So if they don't produce the expected returns, or worse yet lose their capital they won't be in business for too long.
To increase the odds of staying in business they do two things:
(a) push the risk to the entrepreneur and all the "common" investors - do you own "common stock" or "preferred stock"? 'nough said.
(b) make the ownership disproportionate to the proceeds of liquidation - meaning, if the ownership is split 50/50 between the founder and the VC then during the sale most of the proceeds (60% to 80%) will go to the VC.

this is done by instruments like "preferred class", "full participation", "anti-dilution" and other similar means that create asymmetry in risk/reword. Just read chapters 4 and 5 of the book if you need to see examples.
BTW: Does this sound familiar? we had a similar situation in the financial crisis of 2008. Banks created asymmetry in the housing market where they held disproportionate amount of the reword while the risk was pushed out to the homeowner and rest of the economy.

So, if as an entrepreneur and you have created a business that is cashflow-positive, and has a great product and market opportunity then think twice about the VC option. There are many other ways to raise money - loans, venture debt, private equity, and good ol' sales...
Granted, this might not be the fastest way to grow your company and presents the risk of being overtaken by a well-funded company. But if you know that the market is big enough for more then one player (even if you're #2), and you want to keep a larger amount of your hard-earned money and reduce the influence of VCs then think twice about the VC option.

But if you think your company is the next Facebook or Google then go for it. However, most founders endup working in "indentured servanthood" to VCs because they end up relinquishing control and ownership of the company while working long hard hours for little pay.

Buy this book. Read it. Explore all your capitalization options. Weigh the costs and benefits. But whatever you decide make sure to focus on creating a kick-a$$ products for a kick-a$$ markets more so then about raising money. If you have a great company money will find you.

This is the second time in my life I find myself doing the rounds to collect proper money from investors. First time, more than fifteen years ago, I used the Bagley and Dauchy classic “Entrepreneur’s Guide to Business Law” and I thought it was pretty good. This book is quite simply in a different league.

The authors, seasoned VC entrepreneurs, have a gift for writing and that’s what carries you through the book. It’s all very serious, of course, but the writing style is as far from dry as you can imagine.

So I’m reading this and the only thing that keeps me from saying “OK, boys and girls, this covers everything, it’s the gospel” is the simple fact that if I was a VC I’d write a book that makes the case for the VC’s interests rather than the entrepreneur’s. So from where I stand, and I’m an entrepreneur, I’d want an entrepreneur to have written the book.

The authors actually go a long way toward addressing this concern: the summary for every section has actually been written by entrepreneur Matt Blumberg and rather often it’s hardly a summary; it emphasizes different point from Brad Feld’s, lending credibility to the book and making the reader more comfortable.

So this is basically a tremendous book and if you’re raising money you need to buy it and read it. If for some mysterious reason you don’t want a preview, on the other hand, look away now, because what follows is my summary of the key points:

Chapter 1: “The Players”
• You need to be talking to a Managing Director or a General Partner
• You need a good, experienced lawyer: this is an awful place to skimp
• Mentors are great

Chapter 2: “How to Raise Money”
• You need an elevator pitch, an executive summary and a 10-slide powerpoint presentation
• “We haven’t seen a business plan in more than 20 years”
• Your financial model must get the potential expenses right; forget about nailing the revenues
• Do your homework on your VC and don’t press any clearly advertised wrong buttons
• If you feel like your VC is a proctologist, run for the hills
• Ask your VC for references from entrepreneurs

Chapter 3: “Overview of the Term Sheet:
• It’s not a letter of intent; it’s a blueprint for your future relationship with your VC
• Two things matter: economics and control

Chapter 4: “Economic Terms of the Term Sheet”
• Understand the difference between pre-money and post-money
• The VC will try to stick the options pool in the pre-money valuation
• You must have a Plan B to be able to negotiate good economic terms
• Competition aside, valuation will depend on the stage of the company, the team’s experience, the numbers, the suitability for the VC and the economic environment
• Liquidation Preference arises because VCs come in with preferred stock and means the VC gets its money first. This can be very dilutive if the next round is a down round.
• Fully Participating stock receives its participation amount and then shares in the liquidation process on an as-converted basis
• A cap can be put on the participation
• Under “pay to play” provisions, investors who do not participate in the next round get converted to common stock.
• Typically, employee stocks and options will vest over four years and disappear if somebody leaves
• Consideration must be given to treating the vesting as clawback with an IRS Section 83(b) election
• Acceleration of vesting upon change of control is a key feature, don’t leave it out!
• Antidilution provisions may be requested by the investor for the case where new common stock is created after the financing

Chapter 5: “Control Terms of the Term Sheet”
• At the beginning it will be 1. Founder, 2. CEO, 3. VC, 4. 2nd VC, 5. outside board member
• Don’t allow observers on your board
• Make sure the Protective Provisions allow you to borrow a reasonable amount of money
• Your investors need to vote as a single class
• There will be a drag-along provision (majority of shares on as-converted basis is the law in Delaware)
• There will be a conversion clause (so VCs can vote alongside common stock when they must)
• An automatic conversion clause can be there to force VCs to give up on their preferred ahead of a sale.
• If there is an automatic conversion threshold, it must be the same for all classes of stock.

Chapter 6: “Other Terms of the Term Sheet”
• Dividends might be requested by dorky VCs with Private Equity background.
• Noncumulative dividends that require board approval are OK. Supermajority even better.
• Redemption rights on the preferred (say after 5 years) can be put in by VCs that have the maturity of their fund in mind.
• Adverse Change Redemption Rights are evil, because there is no good definition for adverse change.
• Conditions Precedent to Financing should be avoided at all costs.
• Information Rights are A-OK.
• Registration Rights are A-OK. The world is good if you’re going public.
• Right of First Refusal had better be restricted to big investors.
• Right of First Refusal had better be pro-rata.
• Restriction on Sales is a clause that allows the company itself the right of first refusal.
• The Proprietary Information and Inventions Agreement is a clause you actually need.
• A Co-Sale Agreement allows investors to sell along with founders.
• A No-Shop Agreement had better expire automatically if the sale falls through and should have a carve-out for acquisitions.
• A standard Indemnification clause is good corporate hygiene, but it means you need to buy directors’ insurance.
• The Assignment clause needs to be read carefully: look for the loophole “assignment without transfer or the obligation under the agreements” which should not be there.

Chapter 8: “Convertible Debt”
• Convertible converts at a discount to the next financing.
• The purpose is to defer the discussion about the value of the company.
• A floor on the value of the stock protects the entrepreneur.
• A ceiling protects the investor, but can hurt everybody because it guides (caps!) the next investors on price.
• You should put a reasonable time horizon on an equity financing as a condition, or you will find the debt converted before you had time to do the financing.
• You should set upfront the minimum amount of financing that triggers the conversion.
• The interest rate on the debt should be as low as possible.
• There must be clauses regarding the sale of the firm while the debt is outstanding.
• Technically, a startup with convertible debt is insolvent!!!
• Warrants attached to debt are an alternative to the discount on convertible debt.
• Warrants should deliver the most recent class of stock at the most recent round’s price.
• Warrants are long-term (e.g. 10 year) call options.
• Warrants had better expire at a merger/acquisition unless they are exercised prior to the merger.

Chapter 9: “How Venture Capital Funds Work”
• Fees received from the LP are higher during the “Commitment Period” during which funds can still be committed to new investments.
• Follow-on investments can still be made during the investment term of the fund.
• VCs recycle their management fee into the LP if returns during the early life of the fund are good.
• If a fund is approaching the end of its life, you don’t want them to invest in you and most probably they can’t anyway.
• Ask your VC when they made their last investment. If it was more than 12 months ago, run for the hills.

Chapter 10: “Negotiation Tactics”
• Get a good result, do not kill your personal relationships and understand the deal you struck.
• This deal is not your lawyer’s.
• Find out who you are dealing with.
• Have a solid Plan B.
• Get the VC to tell you the top 3 things he wants (erm, good luck with that, I say)
• Always be transparent.
• Never make an offer first.
• Understand what market terms are.
• Bear a bad deal, because the acquirer might deliver you from it.

Chapter 11: “Raising Money the Right Way”
• Don’t ask for an NDA.
• Don’t carpet bomb VCs.
• No means no.
• Don’t be a solo founder.
• Don’t overemphasize patents.

Chapter 13: “Letters of Intent – The Other Term Sheet”
• (N.B. that means you’re selling the firm)
• They will beef up the options plan, right out of the offer they’ve shown you.
• An asset deal is crap: you have no assets but must still close the firm down.
• If they are offering illiquid stock, that’s something you’ll need to invest the time to evaluate yourself!
• You will have to give representations and warranties and if they are qualified by “to the extent currently known” you will have to sign them.
• Escrow is the practice whereby part of the offer is put to one side until some conditions have been met. This is a big burden, especially if the consideration is in stock. Fight it as much as possible.
• No-shop clauses should expire the moment the buyer terminates the process.
• Don’t negotiate your deal at the beginning (that looks awful) but don’t leave it last either.

Chapter 14: “Legal Things Every Entrepreneur Should Know”
• IP issues can kill a startup before you even really begin.
• Delaware
• Non-accredited investors have a right of rescission!
• Don’t forget to file an 83(b) Election
• When you write options to your employees, get them 409A - valuated

Beware the Crocodiles

Feld's book covers most of the issues in a vanilla VC term sheet. It's decently written, and Feld is good at explaining the concepts involved.

But don't be misled: this is a book written by a VC. You should be cautious. Feld's in business to find and sign entrepreneurs, and it's in his interest to set your expectations low and make himself and his peers look harmless. VCs love entrepreneurs who "go along to get along". After all, the VC wants control of your company (for his minority stake) plus as much of your company as he can grab. He'll want the option pool to come out of your end. And those "independent" directors? They'll usually be pals of the VC, or hoping for a job from the VC. In other words, when the crunch comes, they'l side with the VC. Which is why the VC is always happy to have independents on the board. VCs take control of companies through many subtle techniques. Don't be a schmuck and wake up having made them rich while you toil to vest stock in your own company.

There are many blogs written by VCs, each offering "helpful" advice for entrepreneurs. Beware! VCs are not in business to serve you. They serve their LPs. Entrepreneurs are disposable. You are not their customer. They don't work for you--but you may end up working for them.

Remember that.

Be careful when the crocodile tells you how to cross the river.
